Welcome to That Listings Tool ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our web application located at thatlistingstool.com (the "Service"), which provides eBay inventory management and export functionality.

2. Account Registration

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. eBay API Usage & Compliance

Our Service uses the eBay API to access your listing data. By using our Service, you acknowledge and agree that:

• You grant us permission to access your eBay account data through OAuth
• We will comply with eBay's API License Agreement and Terms of Use
• eBay may revoke API access at any time, which may affect Service functionality
• You remain solely responsible for your eBay account and listings
• We do not modify, create, or delete listings on your behalf without explicit action

5. Payment & Subscription

Our Service requires an active subscription:

• Billing: Subscriptions are billed monthly through Stripe
• Auto-Renewal: Subscriptions automatically renew unless canceled
• Cancellation: Cancel anytime through the Subscription page; access continues until period end
• Refunds: No refunds for partial months; prorated refunds at our discretion
• Price Changes: We may change pricing with 30 days' notice
• Payment Failure: Service access suspended if payment fails; account deleted after 30 days

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate eBay's Policies, User Agreement, or API License
• Attempt to reverse engineer, decompile, or hack the Service
• Upload malware, viruses, or malicious code
• Abuse API rate limits or scrape data beyond intended use
• Share your account credentials with others
• Use the Service to compete with us or build a similar product
• Impersonate any person or entity or misrepresent your affiliation

7. Intellectual Property

Our Rights: The Service, including its design, code, features, and trademarks, is owned by us and protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain all rights to your eBay listing data. By using our Service, you grant us a limited license to access, process, and display your data solely to provide the Service.

eBay Content: eBay images and data accessed through the API remain property of eBay Inc. and are subject to eBay's Terms of Use.

8. Data Storage & Privacy

We store limited eBay listing data to provide our Service:

• Cached Listings: Item IDs, titles, prices, thumbnails, sync timestamps
• OAuth Tokens: Encrypted access/refresh tokens for eBay API access
• Export Jobs: Temporary storage of export files (automatically deleted after 30 days)

9. Disclaimers & Limitation of Liability

AS-IS Service: The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee: We do not guarantee:

• Uninterrupted or error-free Service availability
• Accuracy or completeness of eBay data (depends on eBay API)
• Compatibility with all eBay account types or listing formats
• That eBay will not revoke API access or change their API

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• eBay API downtime, rate limits, or policy changes
• Errors or inaccuracies in exported data

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless That Listings Tool, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of eBay's policies or terms
• Your eBay listings or business practices

11. Termination

By You: Cancel your subscription anytime through the Subscription page. Your data will be deleted 30 days after cancellation.

By Us: We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails and is not resolved within 30 days
• We are required by law or eBay to terminate access
• We cease operations or discontinue the Service

Upon termination, your access to the Service will immediately cease, and we will delete your data within 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
